This is the official website of SARJUDAS DIGITAL TRADING AND ESCROW SERVICES PRIVATE LIMITED (hereinafter referred to as “Induspays”), located at A-1002, 10th Floor, Aakash Pruthhvi, Moje Village Vadod, Majura, Pandesara, Surat, Surat City, Gujarat, India, 394221. This website https://induspays.in, that Induspays may specify from time to time, (“Website”) is owned and operated by Induspays. The access to and use of this website is subject to the following terms and conditions of use (“Terms”). Please read the terms very carefully as they shall apply to all users of this website. A user may opt for services through this website only if he accepts and abides by all of the terms. Induspays may periodically change these terms without notice.
Definitions
For the purpose of these terms, the following words and phrases shall have the meaning assigned to them under this article. “Services” means the service provided by Induspays and service providers to users, whereby a user can (i) receive payments from their customers or other payers; or (ii) make payment to suppliers, beneficiaries or other payees, by (A) IMPS/NEFT/RTGS; or (B) Credit/ Debit Card; or (C) Net Banking; or (D) any other mode of payment through banks, that may be accepted by Induspays from time to time in these terms.
User
The term “User” refers to any individual who is registered on the Induspays platform to use this website and/or engage in transactions or avail services through it, whether to make or receive payments from third parties. It also includes authorized personnel acting on behalf of the registered user to utilize the services.
Payee
Refers to any individual or entity receiving a payment through the services, including users who utilize the services to receive payments.
Payer
Refers to any individual or entity making a payment through the services, including users who utilize the services to make payments.
Products
Refers to any services or products that a user purchases or offers for sale to third parties from time to time using these services, excluding prohibited products and services listed in Annexure A.
Service Provider
Refers to any bank, association, facility provider, card issuing institution, acquiring bank, financial institution, card processor, or clearing house network whose facilities or services are used to provide these services.
Transaction
Refers to a payment instruction that successfully transfers funds either (A) from a user to a payee or (B) from a payer to a user.
Transaction Amount
The total amount to be paid or received by a user/payee includes all taxes, charges, interest, delivery costs, commissions, and other applicable fees.
Eligibility
The website and services are exclusively for individuals who are capable of forming legally binding contracts under Indian law and are 18 years of age or older. Any access to or use of the website or services by anyone under 18 is strictly prohibited. By using the website or services, the user confirms and warrants that they are 18 or older and legally competent to contract. The user also agrees that their payer/payee is equally competent to enter into a contract. A user represents and warrants that they possess full power and authority to use the services and are in full compliance with all applicable laws. These Terms and Conditions, as accepted by the user, should be read in conjunction with and in addition to any terms and conditions in force from time to time and issued by any service provider. They will also be read alongside the Privacy Policy. A user may only use the services and this website if they accept and agree to abide by all the following terms and conditions.
Registration
To avail of the services, the user must be registered with Induspays and the service providers. The user is required to provide Induspays with any necessary documents. By registering with Induspays the user agrees to provide true, accurate, current, and complete information. Failure to do so may result in Induspays rejecting the user’s registration and terminating their right to access or use the website and/or services. Upon registration with Induspays, a user account will be created, associated with the user’s username, password, and other identifying information. The user is responsible for all activities that occur through their user account.
Use Of Services
To avail of the services, the user must be registered with Induspays and the service providers. The user is required to provide Induspays with any necessary documents. The services may be used by the user to make and receive payments from/to third parties. To enable the user to use the services, a link with login credentials will be sent to the user’s mobile phone or email address. The user irrevocably and unconditionally accepts full responsibility for the use, confidentiality, and protection of these login credentials, including passwords, as well as for all orders and information changes made using these credentials.
Induspays has no obligation to verify the authenticity of a transaction other than by verifying the user’s basic KYC information. The user shall take all necessary steps to maintain the security and confidentiality of their information, as outlined herein. Induspays shall not be liable for any mistakes or misuse of the services by the user, any authorized person, or anyone gaining access through the user. The user agrees that Induspays will accept all instructions originating from their account in good faith, consistent with commercially reasonable security standards. The user shall indemnify and hold Induspays harmless for any direct or indirect losses incurred due to the disclosure of sensitive information by or through the user.
Upon receiving the necessary details from the service provider, Induspays will initiate the required payment to the payee/user as instructed by the user/payer. Confirmation of the transaction using valid login credentials shall serve as conclusive evidence that the transaction has been effected. The user is responsible for providing Induspays with correct and up-to-date payee information. In the event that the payment is for the purchase of products by the user/payee, Induspays is not responsible for ensuring the products have been delivered. If the user wishes to file a complaint regarding a transaction, it must be communicated to Induspays within 10 (ten) days of the transaction.
User Obligations, Legal Responsibility, and Illegal Activity
Induspays is not responsible for any kind of Fraud, Money Laundering, Terror Finance, or any kind of illegal activity. Whoever is using our service is solely responsible for their usage of the service and they are responsible for all kinds of legal cases and nothing to do with it. Each user shall be responsible for:
Providing correct and accurate information of the payer/payee as required, independently.
Furnishing Induspays with the original copies of proof of delivery of products, invoices, or other records related to any transaction, promptly upon request.
Ensuring that all licenses and registrations required for the sale/purchase of products are valid and in full force, enabling them to carry on their business activities.
User Shall Not (Gaming & Stock Prohibitions)
GAMING AND STOCK ALL ARE PROHIBITED SO DON’T USE OUR SERVICE FOR IT. The user shall not:
Engage in any activity that is banned, illegal, or immoral.
Use the services in a manner or for activities that violate any laws or regulations, or that could expose Induspays to investigation, prosecution, or legal action. The user undertakes and assures Induspays that payments will not be made or received for any products listed in the Banned Items List, set out in Annexure A.
The user shall:
Comply with all applicable laws, rules, and regulations, and adhere to the guidelines set by Visa/MasterCard, acquiring banks, and service providers.
Not sell, provide, exchange, or disclose any personal information of a third party (including account details and mobile numbers), except for the purpose of completing a transaction or as required by law, without obtaining prior written consent from the third party.
Take all feasible precautions, or follow directions from Induspays, to ensure there is no security breach and that the integrity of the connection between their systems, the website, and the payment mechanism is maintained. If any loss occurs due to a breach or improper link, the user shall bear the loss and indemnify Induspays and the service providers from any resulting losses.
Be responsible for paying all relevant taxes, including applicable withholding taxes.
The user shall not at any time:
Request another user to provide details of their bank accounts, including passwords, account numbers, card numbers, mobile phone numbers, or PINs.
Use information about a payee/payer (such as name, address, email, telephone numbers, and other data) for any purpose other than completing the transaction for which it was provided. The user may not sell or disclose such information to others unless they have an independent source or obtain the express consent of the payee/payer.
The user shall inform Induspays in writing 30 working days in advance of any changes to their email address, mobile number, address, ownership or legal status, or cessation of business. The user shall not interfere with or damage the website through viruses, cancel bots, Trojan horses, harmful code, denial-of-service attacks, spoofing, or any similar methods. Induspays has the right to investigate and prosecute violations of these terms to the fullest extent of the law.
Fees
In consideration of the services provided by Induspays, the user agrees to pay a fee as specified in the fee schedule outlined in the Merchant Agreement, on the Induspays website, or as proposed by Induspays via email to the registered email address. Induspays will deduct its transaction fees, plus service tax, for each successful transaction, and remit the balance of the transaction amount to the user/payee’s designated bank account. All other taxes, duties, or charges will be borne and paid by the user, unless otherwise agreed upon by the parties. Induspays reserves the right to alter, modify, or change the discount/commission rate at its discretion. Additionally, Induspays has the right to revise the transaction fee immediately if there is a change in rates or charges imposed by acquiring banks, card associations, or guidelines issued by the RBI from time to time. It is agreed and acknowledged by the parties that the transaction fees charged by Induspays for a confirmed transaction will not be refunded or reimbursed to the user or any other party, regardless of whether the transaction is rejected, charged back, refunded, or disputed.
Specific Terms and Government Authority Blocks
Induspays acts solely as a payment processor for the client and does not have control over the activities or actions of the business it assists in processing payments. Any authority blocked our amount because of user then we will do same in your ID will restriction till you solve the problem with government authority. If any bank or legal authorities request to block an account or place a lien on any amount of the client’s funds due to user activity, the lien on the amount or unblocking of the account will occur only once cleared by the bank or the relevant authorities.
Induspays will not be responsible for any disputes between the users and payers/payees, including issues related to prices, delivery, non-delivery, delay in delivery, or the quality of products. Such disputes must be resolved directly between the user and the payer/payee, and Induspays will not be a party to these disputes. Induspays cannot and does not guarantee the timing of any payments made or received, as the timing depends on the user’s bank, card issuing bank/card processor (if a credit/debit card is used), acquiring financial institutions, and other service providers. Induspays assumes no liability and shall not be held responsible for any delays in payment delivery or availability of funds when using the services.
Security and GPS Location Policy
The user is no allow to share your ID to anyone. If we found any GPS location out of your district then we will put penalty of 1000 INR with REKYC again. Subject to the provisions stated herein and as specified by Induspays from time to time, the user agrees not to hold the Company liable for any improper, fraudulent, unauthorized, duplicate, or erroneous use of their mobile and/or web-based access. Induspays will also not be liable for any consequences arising from the use or misuse of the user’s mobile/email account by any third party.
The user shall be fully liable for:
(A) Any unauthorized use of their mobile/email account.
(B) All authorized transactions on their mobile/email account.
Without prejudice to the remedies available to Induspays and these terms, Induspays shall not be liable to the user for any loss or damage arising directly or indirectly out of:
Any defect in the products or services supplied to them.
Any inability of a third party to supply or deliver the required products in the necessary quantities or types.
The refusal of any person (including a service provider) to honor or accept a payment.
The malfunction of any computer terminal or equipment.
The use of the services by any person other than the user.
Any misstatement, error, or omission in any details disclosed to Induspays.
Termination
If Induspays or the service provider reasonably suspects that a user has committed a breach of these terms, any other agreement with Induspays, or has engaged in any act of dishonesty or fraud against Induspays or any service provider, Induspays shall be entitled to:
(A) Suspend all payments under these terms.
(B) Deactivate or suspend the user’s account and disable their password.
(C) Terminate the user’s access to the website or the services, pending inquiries by Induspays.
The user may cancel their account at any time by sending an email to Induspays. Please note that once the account is canceled, Induspays has no obligation to return any data or information that may reside on its servers or other equipment.
Indemnity
The user agrees to indemnify Induspays from and against any and all liabilities (including but not limited to liabilities, judgments, damages, losses, claims, costs, and expenses), or any other loss that may arise from or relate to any claim, suit, or proceeding brought against Induspays by another user, service provider, or third party for reasons including, but not limited to:
Delivery, non-delivery, delay, deficiency, or mistakes related to the products sold.
A breach, non-performance, non-compliance, or inadequate performance by the user of any of the terms, conditions, representations, obligations, or warranties made by the user.
Any acts, errors, misrepresentations, willful misconduct, or negligence by the user, or their employees, subcontractors, and agents in the performance of their obligations under these terms. The user agrees to comply with all terms and conditions as prescribed by Induspays or any service provider from time to time regarding the services.
Confidentiality
The user agrees not to disclose, use, or personally benefit from any non-public information that they may learn through the website or the services. This obligation will continue until the non-public information becomes publicly known through no action of the user. Induspays may access, preserve, and disclose any of the user’s information if required by law or if Induspays believes in good faith that it is reasonably necessary to respond to claims, prevent fraud, assess risks, or protect the rights, property, or safety of Induspays, its users, or members of the public.
Intellectual Property Rights
The website content, including the trademarks, service marks, and logos (“Marks”) contained therein, are owned by or licensed to Induspays, subject to copyright and other intellectual property rights under applicable law and international conventions. Such website content may not be copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, uploaded, or otherwise exploited without the prior written consent of Induspays.
Privacy Policy
The user understands that their access to the website will result in the collection, use, and storage of their information, which is subject to Induspays Privacy Policy. By accessing the website, the user consents to the collection, use, and storage of such information.
Disclaimer Of Warranties
THE CONTENT AND FUNCTIONALITY ON THE WEBSITE IS PROVIDED WITH THE UNDERSTANDING THAT INDUSPAYS IS NOT HEREIN ENGAGED IN ITSELF FOR MAKING PAYMENTS. INDUSPAYS IS AN INTERMEDIARY BETWEEN BANKS, SERVICE PROVIDERS AND USERS. ALL CONTENT AND FUNCTIONALITY ON THE WEBSITE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. INDUSPAYS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE ACCURACY, OR ADEQUACY OF THE WEBSITE OR THAT THE SERVICES PROVIDED OR THE FUNCTIONALITY ON THIS WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE.
USER HEREBY ACKNOWLEDGES THAT HIS USE OF THIS WEBSITE AND THE SERVICES IS AT HIS SOLE RISK. UNDER NO CIRCUMSTANCES SHALL INDUSPAYS OR ANY OF ITS PREDECESSORS, SUCCESSORS, PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, INVESTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, ATTORNEYS AND THEIR RESPECTIVE HEIRS, SUCCESSORS OR ASSIGNS BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES.
General Terms
Unless Otherwise Set Out, All Payments May Only Be Made In Indian Rupees. Induspays May, If Required By Law, Change Any Fee Or Charge Or Institute New Fees Or Charges. The User Agrees To Pay All Fees And Charges So Levied. Induspays Reserves The Right To Vary Any Of The Terms Contained Herein By Posting The Revised Terms On Induspays Website Without Notice To The User. Induspays Shall Not Be Liable For Any Direct, Indirect, Punitive, Incidental, Exemplary, Special Or Consequential Damages Or Any Loss Of Profit, Business, Revenue, Goodwill Or Anticipated Savings. In No Event Will Induspays Total Liability To User For All Liabilities, Losses, And Causes Of Action Exceed The Amount Paid By User, If Any, For Utilising The Website Or One Thousand Rupees (Rs.1000), Whichever Is Lesser.
Jurisdiction
Incase Of Any Dispute Between The Parties On The Interpretation Or Implementation Of These Terms, The Appropriate Court In Surat City shall have exclusive jurisdiction.
